Director of Client Equity Arrangements / Acquisitions

Position Overview:

Our client is global management consulting firm, recognized as best in class. They serve as a trusted adviser to the world’s leading businesses, governments, and institutions.

As part of their ongoing business growth efforts, they frequently structure and negotiate non-standard payment arrangements including performance-based arrangements and equity-based arrangements As they continue to expand their offerings, they are seeking to hire a commercially minded professional to help lead efforts in all areas of non-standard arrangements and to help with their growing equity portfolio.

The ‘lead’ for the equity-based arrangements team will work closely with Partners and Client service teams to discover and pursue these types of arrangements. This position will involve extensive interaction with functional leaders who have a role in shaping & approving, including professionals across Legal, Risk, Tax, and Accounting functions along with the Firm’s governing body for equity-based arrangements (a group of Senior Partners).

Responsibilities will include (but not be limited to:

The primary focus of the position will be to drive the structuring, negotiation, and execution of many equity-based arrangements. The group sees a high volume of transactions that typically range from $2M to $25M+.

The process will initiate by working hand in hand with Partners/CSTs as they scan opportunities for suitability. In many cases the preferred model will turn out to be something more traditional (fixed fees paid in cash) or something performance based (with a portion of fees linked to deliverables or outcomes/impact).

If the situation meets the firm’s minimum equity guardrails then you steer the process through the Legal, Risk, and commercial diligence steps along with advising the Partners on how to achieve appropriate syndication/approval.

At every step of the process, the lead will be the client’s lead contact with the Firm with respect to all equity negotiations.

Once agreement is met you will then help to facilitate receipt and valuation of equity and transfer to the portfolio manager.

In addition, there may be times when you are called upon to support more traditional M&A type arrangements where the Firm is acquiring, partnering with, or divesting particular entities/assets.

You may also have the opportunity to help with more traditional (non-equity) commercial negotiations such as multi-year rate cards, performance arrangements and the occasional work-out/settlement
